Terms of Service
Draft version 0.2 · Last updated 15 October 2026 · Pending review by Thai counsel before launch
Pramdesk is software. Your company remains responsible for checking pay and for filing and paying tax and social security on time.
In short. Pramdesk is software that helps you calculate payroll and prepare files. It is provided "as is". It is not tax, accounting or legal advice. Your company, not us, is responsible for the data it enters, for checking every figure, and for filing returns and paying salaries, tax, social security and provident fund contributions correctly and on time. To the maximum extent permitted by Thai law, we are not liable for fines, surcharges, interest, penalties or other losses arising from your use of the service, and any liability we do have is capped as set out in section 9.
1. Who we are and who these terms apply to
Pramdesk (the "Service") is provided by [OPERATOR LEGAL NAME], a company registered in Thailand under registration number [REGISTRATION NUMBER], at [REGISTERED ADDRESS] ("we", "us").
These terms are an agreement between us and the organisation that creates a company account (the "Customer" or "you"). The person who signs up confirms that they are authorised to accept these terms for the Customer. Signing up means ticking a box to accept these terms and our Privacy Policy; we record the version accepted and when. Employees invited by a Customer use the Service under their employer's account; their employer is responsible for their access.
2. What the Service does, and does not do
The Service calculates pay, withholding tax, social security and provident fund contributions from the information you enter, produces payslips, and generates files (such as P.N.D.1, social security and bank salary files) for you to review and submit.
- The Service does not file returns with, or make payments to, the Revenue Department, the Social Security Office, any provident fund, any bank or your employees. You submit and pay yourself.
- Calculations follow our understanding of Thai rules at the time they were built. Rates, thresholds and forms change. We aim to update the Service, but we do not promise that it reflects every change, every special case, or your company's particular circumstances.
- Nothing in the Service, its documentation or our support is tax, accounting, legal or employment advice. Consult a qualified adviser for decisions that matter.
3. Your responsibilities
- Accurate data. You are responsible for the accuracy and completeness of everything you or your users enter, including employee details, salaries, allowances, deductions, tax allowances and bank accounts.
- Checking results. You must review every payroll calculation, payslip and generated file before you rely on it, pay anyone, or submit it to any authority or bank.
- Filing and paying on time. You remain solely responsible for meeting your legal obligations as an employer and withholding agent, including deadlines under the Revenue Code, the Social Security Act and the Provident Fund Act.
- Your users. You decide who has access and which role they hold. You are responsible for what your users do in your account, for removing access when someone leaves, and for keeping passwords and sign-in devices secure.
- Lawful use. You must have a lawful basis to collect and process your employees' personal data, give them the notices the Personal Data Protection Act B.E. 2562 requires, and not use the Service for anything unlawful.
- Your own records. You are responsible for keeping the records the law requires you to keep. Export what you need while your account is active.
4. Payroll consultants
Payroll consultants who work in your account are independent of us. They are not our employees or agents, and we do not supervise or guarantee their work. Any arrangement between you and a consultant, including fees, is between you and them.
A consultant who signs up as a payroll partner accepts these terms for themselves or their firm. Partners use the Service to work for client companies; each client company remains responsible for checking pay and for filing and paying tax and social security on time, and the partner is responsible to that company for the work it agreed to do.
5. Accounts and security
Company staff sign in with a password and a one-time code, an authenticator app, or single sign-on. Tell us promptly at [SECURITY CONTACT EMAIL] if you believe an account has been compromised. We may suspend access to protect the Service, you, or others.
6. Your data
You own the data you put into the Service. You appoint us to process it on your behalf to provide the Service. For personal data, you are the data controller and we are your data processor, as described in our Privacy Policy. We do not sell your data or use it to advertise.
7. Fees
During the pilot the Service is offered free of charge or at the price agreed with you in writing. We will give at least 30 days' notice before introducing or changing fees, and you may close your account before they apply.
8. Availability and changes
We try to keep the Service available and working, but it may be interrupted for maintenance, faults or events outside our control. We may change, add or remove features. We will give reasonable notice of changes that materially reduce what you can do. Plan your payroll so that a short interruption near a deadline does not cause you to miss it.
9. Disclaimer and limitation of liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of accuracy, fitness for a particular purpose, and uninterrupted or error-free operation.
- We are not liable for any fines, surcharges, interest, penalties or assessments imposed by any authority; any amounts you pay, underpay or overpay to employees, authorities or funds; or any loss of profit, revenue, business, goodwill or data, or any indirect, incidental, special or consequential loss, however caused.
- Our total liability arising out of or relating to the Service in any 12-month period is limited to the fees you paid us for the Service in that period, or 1,000 baht if you paid nothing.
Nothing in these terms excludes or limits liability that cannot be excluded or limited under Thai law, including liability for our wilful misconduct or gross negligence, or for death or personal injury caused by our negligence. These limits apply only as far as the Unfair Contract Terms Act B.E. 2540 and other applicable laws allow.
10. Indemnity
You will compensate us for claims by third parties (including your employees and any authority) to the extent they arise from data you entered, your failure to meet your own legal obligations, or your breach of these terms.
11. Ending your account
You may close your account at any time. We may suspend or close an account that breaches these terms, after notice where reasonable. After closing, you have 30 days to export your data; we then delete it as described in the Privacy Policy, except where the law requires us to keep it.
12. Changes to these terms
We may update these terms. We will show the date of the latest version above and, for material changes, notify account owners at least 30 days in advance. Continuing to use the Service after the change takes effect means you accept the new terms.
13. Law and disputes
These terms are governed by the laws of the Kingdom of Thailand. The Thai courts have exclusive jurisdiction. If a Thai translation of these terms is provided and the two differ, the [ENGLISH / THAI — to be decided with counsel] version prevails.
